Dangote Petroleum Refinery has completed a record US$2.5 billion private equity raise as it accelerates plans to expand refining and petrochemical capacity, marking Africa's largest publicly disclosed primary private equity placement by value
Aliko Dangote, President and Chief Executive of Dangote Industries and Chairman of the refinery, said the transaction would deepen and institutionalise the company's shareholder base while complementing internal cash flows and external funding as expansion continues.
The offering attracted a broad mix of international and African institutional investors, sovereign-related investment vehicles, development finance institutions and long-term strategic partners. Named participants include the Africa Finance Corporation (AFC), India Infra Buildco, and an investment vehicle facilitated by Afreximbank, alongside institutional and individual investors.
The capital injection marks the refinery's first equity fundraising from external institutional investors and comes as the company seeks to strengthen its balance sheet while financing the continued expansion of its refining and petrochemical operations.
Dangote said proceeds from the placement will support the ongoing expansion of the refinery and petrochemical complex, reinforce the company's capital structure and provide additional financial flexibility for future growth initiatives.
The fundraising also comes as Dangote continues to ramp up operations at the 650,000-barrel-per-day refinery, with exports of refined petroleum products expanding into African and international markets. The company has previously outlined plans to further increase refining and petrochemical capacity as it seeks to reduce Africa's dependence on imported fuels and strengthen regional energy security.
The company did not disclose the final valuation achieved in the placement, the number of shares issued, the issue price, the percentage stake sold or the allocation among investors. While the transaction broadens institutional ownership and could establish a valuation benchmark for any future listing, it remains a private placement rather than an initial public offering.
