Nazara Technologies has announced the acquisition of global casual and social gaming startups Bluetile Games S.L. and Bestplay Systems S.L. With this, Nazara plans to strengthen its presence in the global casual and social gaming segment.

As part of the deal, Nazara will acquire an initial 50% stake in the two companies for $100.3 million (around Rs 918 crore), with $59.7 million payable at closing and the remaining within six months. The company has the option to acquire the remaining stake by 2028 at a valuation linked to 6.6x trailing EBITDA.

In addition, the transaction includes performance-linked earnouts of up to $98.2 million, payable between 2028 and 2030.

Bluetile operates a portfolio of casual and social mobile games across formats such as puzzles and tile-based games, with titles including Yatzy, Domino Legends, and Mahjong Voyage. The company has 17 live games, 375 million downloads, and 22 million monthly active users. Bestplay runs a rewards-based engagement platform that supports user acquisition, retention, and cross-promotion across mobile games.

For calendar year 2025, the combined entities claim to have reported revenue of $153.6 million (around Rs 1,405 crore) and EBITDA of $27.7 million (around Rs 254 crore).
